PITTSBURGH STEELERS STUDENT RUSH BID TO WIN AUCTION TERMS AND CONDITIONS

VOID WHERE PROHIBITED OR OTHERWISE RESTRICTED BY LAW.

By participating in the Pittsburgh Steelers Student Rush Bid to Win Auction (the "Weekly Auction"), you agree to be bound by these official terms and conditions ("Terms"). Please read the Terms carefully before participating. You must follow the directions provided within these Terms to be eligible to bid on and purchase (i) two (2) tickets to an upcoming Steelers Game (Approximate retail value "ARV" $120) (the "Game Tickets") and (ii) two (2) field passes for the Steelers Game (ARV $500) (the "Sidelines Passes" collectively with the Game Tickets, the "Student Rush Tickets") (the Game Tickets and the Sideline Passes are collectively referred to herein as the "Ticket Package").

ELIGIBILITY TO BID: In order to bid on the Ticket Package, you must be: 1) a legal resident of one of the fifty (50) United States of America or the District of Columbia (except in the case of legal residents of certain states where the legal age of majority is greater than eighteen (18) years of age, you must then meet the state's legal age of majority) and be at least eighteen (18) years of age or older at the time of entry into the Weekly Auction; and 2) a current, registered college student with a valid and active .edu email address and be enrolled in the Steelers Student Rush Text to Buy program, including having a valid payment method on file and linked Ticketmaster account. Participation in the Weekly Auction is void where prohibited or otherwise restricted by law, rule or regulation. Officers, members, managers, and employees of Pittsburgh Steelers LLC ("Steelers"), members of these persons' immediate families (spouses and/or parents, children, and siblings, and their spouses, regardless of where they reside), and/or persons living in the same households as these persons (whether or not related thereto) are not eligible to participate in or receive awards in the Weekly Auction.

BIDDING PROGRAM PERIOD: The Weekly Auction begins every Thursday at 12:00 PM EST before each Steelers Regular Season Game (each, a "Steelers Game") and ends the same day at 11:59 PM EST (each, a "Bidding Period"). The end time for each Bidding Period will not be extended. There are no exceptions to the end time of a Bidding Period and the Bidding Period will not be re-opened for further bidding under any circumstances.

REGISTRATION AND PARTICIPATION: To register to participate in the Weekly Auction, sign up for Steelers Student Rush at www.Steelers.com/StudentRush, or, if already enrolled, log into Steelers Student Rush via mobile or web browser, and enter the Text to Buy program (a "Participant"). Those Participants that respond to the Text to Buy messages, but that did not receive tickets and receive a message stating "Fumble On the Play" or "Sold Out", will be sent a direct text link to the Weekly Auction landing page (the "Auction Portal").

By participating in the Weekly Auction, a Participant gives express permission to be contacted by the Steelers.

BY PROVIDING CONTACT INFORMATION, PARTICIPANTS CONSENT TO THE COLLECTION AND STORAGE OF THE INFORMATION PROVIDED. UNLESS THEY ELECT TO OPT-OUT, PARTICIPANTS IN THE WEEKLY AUCTION MAY RECEIVE MARKETING AND OTHER WEEKLY AUCTION INFORMATION FROM THE STEELERS AND/OR ITS AFFILIATED PARTIES AND CONTRACTORS. BY PROVIDING CONTACT INFORMATION AND NOT ELECTING TO OPT OUT, PARTICIPANTS CONSENT TO BEING CONTACTED BY THE STEELERS, ITS AFFILIATED PARTIES OR PARTNERS, AND CONTRACTORS. CONTACT METHODS MAY INCLUDE MAILINGS, EMAILS, TEXTS, AND TELEPHONE CALLS (INCLUDING THOSE GENERATED FROM AN AUTOMATED TELEPHONE DIALING SYSTEM) AT THE TELEPHONE NUMBER PROVIDED, INCLUDING ANY WIRELESS TELEPHONE NUMBER PROVIDED.

BIDDING: In order to be eligible to submit a bid in the Weekly Auction (a "Bid"), Participants must Bid against other Participants for the Student Rush Tickets. The starting Bid for the Student Rush Tickets will be $110. The Auction Portal will show the current high Bid. All Bids must be placed via the Auction Portal. No Bids will be accepted via any other method. Participants may submit revised Bids at any point through the end of the applicable Bidding Period, but shall not be able to revise a Bid once the applicable Bidding Period has closed. BY PLACING A BID, THE PARTICIPANT AUTHORIZES THE STEELERS OR A STEELERS DESIGNEE TO IMMEDIATELY CHARGE THE FULL BID AMOUNT TO THE PARTICIPANT'S PAYMENT METHOD ON FILE IF SUCH PARTICIPANT'S BID IS SUCCESSFUL. All sales are final. No refunds, cancellations, or exchanges will be permitted unless otherwise required by law. The winning Bid shall be determined based on the highest eligible Bid received at the conclusion of the Bidding Period. In the event that multiple Participants submit the same highest eligible Bid, the High Bidder (as hereinafter defined) will be randomly selected via drawing from those Participants who have placed the highest eligible Bid (the "Drawing"). Any Drawing shall be completed within twelve (12) hours of the conclusion of the applicable Bidding Period.

NOTIFICATION AND PAYMENT: The Participant with the highest Bid upon conclusion of the Bidding Period or following the Drawing (the "High Bidder") shall automatically be charged in the amount of the Bid and shall receive the Student Rush Tickets. If the High Bidder's payment information is invalid or if the payment is declined, then either the Steelers or a Steelers designee shall contact the High Bidder via the provided email or phone number and the High Bidder shall have thirty (30) minutes to provide a valid alternative payment method. Failure to do so shall render the next highest bidder the High Bidder and the next highest bidder (or the highest bidder with a valid payment method) shall be charged for the Student Rush Tickets. In the event that the High Bidder was selected via Drawing and fails to provide a valid alternative payment method then the Steelers or a Steelers designee shall conduct an additional Drawing from the remaining Participants that have placed the highest eligible bid. Once the Steelers or a Steelers designee receives adequate payment for the Ticket Package, the Game Tickets shall be deposited into the winning Participant's linked Ticketmaster account. The High Bidder is subject to verification of eligibility. All proceeds from the Weekly Auction in excess of the ARV for the Ticket Package shall be deposited with the Art Rooney Scholarship Fund.

The Steelers will notify the High Bidder of the Ticket Package at either the telephone number (land line or cell) and/or by the email address provided in the Bid with instructions on how to claim the Sideline Passes at Acrisure Stadium on the day of the game. The Sideline Passes will be available (2) hours prior to kickoff at the location specified in the instructions. The Steelers will make one (1) attempt to contact the High Bidder via telephone and/or email within twenty-four (24) hours from the end of the Bidding Period. If the Steelers are unable to reach the High Bidder by telephone and/or email within such twenty-four (24) hour period, then the High Bidder shall not be entitled to a refund of all or any portion of the successful high Bid for the Ticket Package. The Steelers shall not be liable for unsuccessful efforts to contact the High Bidder. The notified High Bidder shall be the only party eligible to claim the Sideline Passes. If the High Bidder fails to claim the Sideline Passes, fails to abide by all the Terms, or is ineligible, then the High Bidder shall be deemed to have forfeited the Sideline Passes. When the High Bidder claims the Sideline Passes the High Bidder will be asked to provide his/her proof of age, a government-issued ID and a valid college ID showing current enrollment as a student.

All Participants agree that all decisions of the Steelers shall be final and binding with respect to all matters related to the Weekly Auction, and Participants waive any right to challenge any decisions made by the Steelers, and waive any right to claim any ambiguities in the Terms or the Weekly Auction.

Failure to follow any instructions provided in these Terms may result in disqualification of any Bid. All materials submitted become the property of the Steelers and will not be acknowledged or returned. Participants are responsible for all costs of participating in the Weekly Auction, including online access charges, etc. Steelers' computer shall be the official clock of the Weekly Auction.

NO TRANSFER OR ASSIGNMENT OF STUDENT RUSH TICKETS: Exact Ticket Package details (including location of seats) shall be determined in the sole discretion of the Steelers. Each Student Rush Ticket and Sideline Pass is non-transferable and non-assignable, with no cash redemption. The Steelers reserve the right to substitute the Student Rush Tickets with tickets of comparable or greater value at their sole and absolute discretion.

PUBLICITY RELEASE: By enrolling in the Weekly Auction, High Bidder grants to the Steelers, and each of its designees, the right to use or publicize such High Bidder's name, address (city and state of residence), voice, statements, photograph and/or other likeness for advertising, trade and/or any other purpose in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation, and without further compensation, consideration, permission or notification, unless prohibited by law.

RELEASE/WAIVER OF LIABILITY: By participating in the Weekly Auction and/or accepting the Student Rush Tickets, each Participant expressly agrees to (i) be bound by these Terms, including all entry requirements, and (ii) waive, release and discharge any and all claims against the Steelers and its parents, affiliated companies, subsidiaries, officers, directors, members, managers, employees, agents, licensees, distributors, dealers, retailers, printers, representatives and advertising agencies, and any and all other companies associated with the Weekly Auction, and all of their respective officers, directors, employees, agents and representatives (collectively, "Released Parties") for any injury, damage or loss that may occur, directly or indirectly, in whole or in part, arising out of or in any way related to the Weekly Auction, these Terms, Participant's entry, negligence of any of the Released Parties, any travel or activity related to the receipt or use of the Ticket Package (or any portion thereof).

PRIVACY POLICY: Information collected by the Steelers in connection with the Weekly Auction will be used in accordance with the Steelers' Privacy Policy (http://www.steelers.com/legal/privacy-policy/) and these Terms. In the event of any discrepancy between the Steelers' Privacy Policy and these Terms, the Steelers' Privacy Policy shall control and govern.

GENERAL CONDITIONS: Released Parties are not responsible for interrupted or unavailable network or other connections; misdirected, blocked, or delayed notifications; printing, typographical or other errors appearing within these Terms, in any Weekly Auction-related advertisements or other materials; or any other errors, problems or difficulties of any kind relating to or in connection with the Weekly Auction, including, without limitation, errors or difficulties which may occur in connection with the administration of the Weekly Auction, or the announcement of the availability of the Student Rush Tickets in any Weekly Auction-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, tampering, hacking, or by any equipment or programming associated with or utilized in the Weekly Auction. Released Parties are not responsible for injury or damage to participants or to any person's computer, phone, tablet or other electronic device related to or resulting from participating in the Weekly Auction. Released Parties (i) make no warranty, guaranty or representation of any kind concerning the Student Rush Tickets, and (ii) disclaim any express or implied warranties. The Ticket Package shall be subject to the Steelers' rules and terms relating to tickets which can be found here: https://www.steelers.com/legal/ticketback2024. Steelers' failure to enforce any term of these Terms shall not constitute a waiver of any such term. All disputes will be resolved under the internal substantive laws of the Commonwealth of Pennsylvania, without regard to its conflicts of laws principles, and the laws of the United States. All disputes arising out of or with respect to the Weekly Auction or these Terms shall be heard exclusively in the courts, state and federal, located in Pittsburgh, Pennsylvania, USA. If any term, condition or provision of these Terms is held by a court of competent jurisdiction to be invalid, void or unenforceable, the remainder of the provisions shall remain in full force and effect and shall in no way be affected, impaired or invalidated.

CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THE WEEKLY AUCTION OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THE WEEKLY AUCTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, STEELERS WILL DISQUALIFY SUCH PARTICIPANT, AND STEELERS AND/OR ITS AGENTS RESERVE THE RIGHT TO PROSECUTE AND SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR ANY SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

The Steelers reserve the right, in its sole discretion, to cancel or suspend the Weekly Auction at any time. The Steelers reserve the right, in its sole discretion, to modify these Terms for clarification purposes without materially affecting the terms and conditions of the Weekly Auction.
